BRC Group Holdings agreed to acquire Sangoma Technologies, the primary developer and sponsor of the open source Asterisk and FreePBX communications projects, at an enterprise value of about $204 million (C$289 million). Sangoma shareholders would receive $4.925 in cash and 0.04767 of a BRC share per share, and the company would be folded into BRC Telecom alongside UOL, magicJack, Marconi Wireless, and Lingo, with its shares delisted from the TSX and Nasdaq and the deal expected to close no later than early 2027. BRC framed the purchase as an extension of its strategy of buying mature, cash-generating communications businesses, noting Sangoma’s declining adjusted EBITDA and reduced guidance while adding its 2.7 million unified-communications seats to a combined portfolio with about $441 million in trailing-twelve-month revenue.
